Naseej International Trading Co. said the extraordinary general meeting (EGM) to vote on the company’s proposed capital increase was not held as the first meeting, followed by a second, an hour later, failed to achieve the required legal quorum, according to a Tadawul statement.
The company will invite shareholders to a third EGM, which will be deemed valid regardless of the number of shareholders or shares represented.
If shareholders approve the capital increase at the EGM, eligibility will be granted to shareholders who own the company’s shares on the date of the meeting.
Eligible shareholders must also be registered in the company’s shareholder register with the Securities Depository Center Co. (Edaa) at the end of the second trading day following the EGM.
Naseej will announce the date of the third EGM after obtaining the necessary regulatory approvals, the statement said.
According to data available with Argaam, Naseej shareholders were scheduled to vote on the board’s recommendation, issued in October 2025, to increase the company’s capital via a SAR 163.5 million rights issue to settle the company’s financial obligations and support its future growth strategy.
Shareholders had rejected a proposed SAR 163.5 million rights issue in January 2024.
