In a statement to Tadawul, Retal said Ajdan’s shareholders had approved the cancellation of the treasury shares and the resulting capital reduction at an extraordinary general meeting (EGM).

Following the cancellation and capital reduction, Ajdan’s issued shares decreased from 30 million to 28.5 million.

Consequently, the 14.25 million shares covered by the share swap agreement signed between Retal and Al Fozan Holding Co. on Feb. 14, 2026, now represent 50% of Ajdan’s capital, up from 47.5%.

Retal clarified that the changes do not affect the number of shares subject to the acquisition, the agreed consideration, the swap ratio, or any other economic or legal terms of the transaction.

The number of shares remains unchanged at 14.25 million, while the agreed consideration remains the issuance of 55 million new ordinary shares in Retal to Al Fozan Holding.
