Amwaj International Co.’s board of Directors decided on Aug. 23, to cancel its previous recommendation to increase the company’s capital from SAR 60 million to SAR 80 million through a bonus share issue.
According to a statement to Tadawul, the decision followed a reassessment of the recommendation in light of the relevant requirements under the rules on the offering of securities and continuing obligations, as well as its latest annual financial statements and changes in its financial position. The proposed increase had been based on capitalizing part of retained earnings.
Following the review, the retained earnings available for capitalization were no longer sufficient to implement the proposed capital increase in its previous form.
According to Argaam data, Amwaj board recommended in April 2025 increasing the company’s capital by 33.33% through capitalizing SAR 20 million from retained earnings, by issuing one bonus share for every three shares held.
Amwaj recorded a SAR 87.8 million loss in 2025, compared with a SAR 6.4 million profit in 2024. Meanwhile, H2 2025 losses amounted to SAR 91.3 million, driven by exceptional losses.
