Al Kathiri Holding Co. signed a framework agreement with SA’AF Capital to provide advisory services aimed at reviewing the company’s strategy, improving capital allocation efficiency, and enhancing the performance of its investment portfolio.

In a statement on Tadawul, the company said the agreement covers advisory services in two phases. The first involves a strategic assessment and diagnosis of the company’s operations and investment portfolio, while the second covers the development of the strategy and capital allocation strategy.

The company said the agreement is valid for 24 months from the signing date of Sept. 23, 2026, and may be terminated by either party through written notice.

The agreement currently has no financial value, as it is a framework agreement that does not entail any fees or financial obligations for the company. Fees, if any, will be determined later under a separate addendum, the statement added.

The agreement currently has no financial impact on Al Kathiri’s financial statements, as it does not entail any financial obligations. The company indicated it will announce any financial impact once fees are agreed upon, noting that there are no related parties to the agreement.

Meanwhile, Al Kathiri’s board approved entering into the agreement on Sept. 23, 2026, while approval of the strategy and any decisions or resulting actions will remain within the authority of the board of directors.

The company will announce any material developments related to the agreement in due course, it further indicated.

According to Argaam, Al Kathiri announced on Sept. 15 that it had appointed SA’AF Capital as its financial advisor in connection with a capital increase through a rights issue, which was recommended by the board for approval by the extraordinary general assembly.
