ANB plans to issue dollar-denominated AT1 capital sukuk, with the offering size and terms to be determined based on market conditions
Arab National Bank (ANB) plans to issue US dollar-denominated Additional Tier 1 (AT1) capital sukuk under its international AT1 capital sukuk issuance program, which was updated on Aug. 20, 2026, based on the board of directors’ resolution dated June 30, 2025.
The bank said in a statement on Tadawul today that the issuance is expected to be conducted through a special-purpose vehicle, with the sukuk offered to qualified investors inside and outside Saudi Arabia.
The offering size and terms will be determined at a later stage based on market conditions. The proceeds are intended to strengthen the bank’s Tier 1 capital and support its general banking purposes.
The sukuk issuance is subject to the approval of the relevant regulatory authorities, where applicable, and will be carried out in accordance with applicable laws and regulations.
The bank has appointed several institutions as joint lead managers and joint bookrunners for the potential offering, including ANB Capital, Arqaam Capital Ltd, Citigroup Global Markets Ltd, Goldman Sachs International, HSBC Bank plc, Standard Chartered Bank, and Warba Bank K.S.C.P.
