Umm Al-Qura Cement Co.confirmed that City Cement Co. has issued a firm intention to acquire all its shares through an all-stock transaction.
The offer follows the Merger Acquisition Regulations and the terms of the acquisition implementation agreement.
In a statement to Tadawul, the company said it is working with City Cement to meet the required conditions, including regulatory approvals. However, the transaction remains uncertain and is subject to conditions outlined in the deal announcement.
Umm Al-Qura Cement’s board will issue a circular to shareholders with its opinion on the deal. City Cement, after securing approvals, will publish its offer document with key transaction details.
Both companies will call extraordinary general assemblies to vote on the deal. Umm Al-Qura Cement confirmed that any material developments will be disclosed in due course.
The firms signed the acquisition implementation agreement on Oct. 24, 2024. City Cement will acquire Umm Al-Qura Cement by issuing new shares, according to Argaam’s data.
The deal follows Article 26 of the Merger Acquisition Regulations, the CMA’s Rules on the Offer of Securities, and the terms of the implementation agreement.
