SISCO Holding’s unit completes acquisition of 100% stake in Transcorp International

Sustained Infrastructure Holding Co. (SISCO Holding) said its portfolio company, Green Dome Investments (GDI),completed, on Nov. 5, 2025, the acquisition of a 100% stake in Transcorp International for AED 225 million (SAR 229.75 million).

SISCO holds a 31.67% stake in GDI, the company said in a statement to Tadawul.

The acquisition will be financed through equity from GDI shareholders, the statement said, with SISCO’s contribution amounting to AED 75 million (SAR 76.58 million).

It added that Green Dome is accounted for as an equity-method associate of SISCO Holding; therefore, the impact of the transaction on the company’s consolidated financial statements for the year ended Dec. 31, 2025, is not material.

The company further noted that any financial impact related to the transaction will be reflected in subsequent financial periods in the normal course of business and in accordance with the applicable accounting standards.

In October, SISCO Holding announced that GDI signed a share purchase agreement (SPA) to acquire 100% of Transcorp International, noting that the owner then would remain in charge to continue driving growth in partnership with GDI, Argaam data showed.

The transaction was expected to be completed in Q4 2025.

Transcorp International reported revenues of AED 60.8 million (SAR 62.08 million) in 2022, AED 75.8 million (SAR 77.39 million) in 2023, and AED 109.4 million (SAR 111.7 million) in 2024, according to financial data disclosed in the statement.
