Snapshot of the agreement signing
Alt Capital, a Riyadh-based CMA-regulated private equity firm, has signed a share purchase agreement (SPA) to acquire a significant minority stake in Mazaya, one of Saudi Arabia’s leading operators of gas stations and transportation services.
The statement noted that Mazaya operates a network of more than 250 locations, with expected annualized revenue of SAR 2 billion in 2026. The transaction remains subject to customary closing conditions, including regulatory approvals, and marks Alt Capital’s opening move in the Kingdom’s fuel retail sector.
Saudi Arabia’s fuel retail sector remains highly fragmented, with qualified operators competing across a network that spans 13 regions and continues to expand in line with population growth and Vision 2030’s infrastructure priorities.
Mazaya has established itself as one of the sector’s leading platforms, combining scale, operational depth, and a loyal customer base built over years of consistent service delivery. Alt Capital’s investment provides Mazaya with the institutional backing to accelerate network expansion, raise operational standards, and lead the consolidation of a market that is ripe for integration.
Once completed, the investment is expected to support Mazaya’s next phase of growth, focusing on expanding and upgrading its network, strengthening operational performance, and enhancing the customer experience across its stations and transportation services.
Abdullah Altobaishi, CEO of Alt Capital, commented: “This is the first step in a broader strategy to consolidate the market and elevate customer experience, fully aligned with the directives of the Ministry of Energy and Vision 2030. We are proud to partner with the Mazaya team behind a long-term vision for a more efficient sector.”
Karim Burhani, Managing Director at Alt Capital, noted that Mazaya is a high-quality platform with strong fundamentals and a proven track record in a sector ripe for consolidation. He highlighted a clear opportunity to invest in operations and the customer journey while building a more sustainable market.
Abdullah Al Amri, CEO of Mazaya, described the partnership as providing the company with the institutional platform to scale its business model across the Kingdom—a model built on operational discipline and direct accountability to customers—faster and at a standard the sector has not seen before.
