Molan has three months from Aug. 3 to take corrective measures in accordance with the Listing Rules

Molan Steel Co. said it received a notification from the Saudi Exchange (Tadawul) on Aug. 3, 2026, stating that the company’s average closing share price had fallen below the minimum required threshold.

In a statement to Tadawul, the company said it has three months, effective Aug. 3, 2026, to take corrective measures in accordance with Paragraph (C) of Article 33 of the Listing Rules.

Molan said that, subject to the share consolidation provisions set out in the Implementing Regulations of the Companies Law for listed joint-stock companies, it intends to consolidate its shares to ensure the closing share price is no less than SAR 3. The company will convene an extraordinary general meeting (EGM) to vote on the board’s recommendation to consolidate the shares, unless the share price rises to SAR 3 or above during the grace period.

The company added that the share consolidation will reduce the total number of outstanding shares, while its share capital will remain unchanged, with the new share price adjusted accordingly.

Molan noted that if it fails to comply with the requirements of Article 33 of the Listing Rules, the Saudi Exchange’s procedures for suspending trading in listed securities will apply, and trading in the company’s shares will be made available on the over-the-counter market.

The company affirmed its commitment to taking the necessary measures to comply with the minimum average closing share price requirement and to disclose any material developments as they occur.
