Riyad Bank announced the prospectus for the issuance of Additional Tier 1 capital Sukuk program, with a total nominal value not exceeding SAR 10 billion.

The program allows the bank to issue up to 10 million Sukuk, with a nominal value of SAR 1,000 per sak, provided that the sukuk are issued in multiple tranches or series according to the bank’s needs and the final terms of each issuance.

Riyad Bank will use the net proceeds of each issuance to strengthen its Additional Tier 1 capital, in addition to financing general banking purposes, in accordance with the investment plan stipulated in the principal Mudaraba agreement.

The Sukuk will be offered to qualified natural and legal persons for subscription within the Kingdom or in any jurisdiction where the offering is legally permitted.

The size of each issuance, offering period, profit rate, distribution dates, minimum subscription amount, and allocation mechanism will be determined in the final terms for each series.

On June 15, 2026, Riyad Bank got the Capital Market Authority’s (CMA) approval to register and publicly offer debt instruments under an issuance program worth no more than SAR 10 billion. It also obtained conditional approval from Tadawul to list the Sukuk, as well as a non-objection from the Saudi Central Bank (SAMA) for the issuance of Sukuk with a total amount of up to SAR 5 billion.
